Terms of Engagement.

Operational guidelines, liability parameters, and intellectual property mandates for utilizing the Miya Holdings acquisition infrastructure.

Section 01

Definitions & Platform Mandate

  • "The Vanguard" / "We" — Miya Holdings and its authorized legal/brokerage personnel.
  • "The Entity" / "You" — any individual, corporate body, or NRB utilizing this platform.
  • "Digital Twin" — the 3D architectural models, LiDAR scans, and drone orthomosaics generated by Miya Group.
  • By accessing our active inventory or initiating any intake form, you agree to be bound by these Terms of Engagement.

Section 02

Acquisition & Escrow Protocols

Anti-Money Laundering (AML)

  • All capital must originate from verified, legal banking channels in compliance with Bangladesh Bank.
  • We reserve the right to freeze any transaction failing our internal KYC audit.

Escrow Limitation

  • We guarantee clear-title clearance prior to listing.
  • We are not liable for external delays caused by Sub-Registry, AC Land, or RAJUK during the final mutation (Namjari) process.

Good Faith Deposits

  • Booking Money or earnest deposits are non-refundable unless Miya Legal discovers an undisclosed fault in the chain-of-title.

Section 03

Proprietary Digital Infrastructure

Data Scraping

  • Automated scraping or extraction of property data, pricing, or yield calculations from holdings.miyagroupbd.com violates this mandate and will result in IP litigation.

3D Asset Sovereignty

  • All Digital Twins, floor plans, and drone imagery are exclusive intellectual property of Miya Group and may not be reverse-engineered or reused without licensed agreement.

Section 04

Asset Deployment (Sellers) Obligations

  • Entities submitting assets guarantee they hold the legal right to sell and that the asset is free of undisclosed liens, familial disputes, or unapproved municipal deviations.
  • Assets accepted into Miya Premium or Off-Market tiers are subject to an exclusivity period, during which the Entity may not market the asset through parallel brokerages.

Section 05

Market Fluctuations & Yield Projections

All projected Cap Rates, NOI, and infrastructure appreciation metrics are calculated using current macroeconomic data. They are strategic forecasts, not financial guarantees. Miya Holdings is not liable for fluctuations in the market, government tax policy changes, or external economic shifts.

Section 06

Dispute Resolution & Jurisdiction

  • These Terms are governed strictly by the laws of the People's Republic of Bangladesh.
  • In the event of a dispute, both parties agree to binding arbitration in Dhaka, Bangladesh, before escalating to the High Court Division.
